7. Payment Terms
Payment Structure
- Fees: Service charges are payable in advance or as per contractual milestones
- Invoices: Payments are due within the timeline stated (generally 7–30 days)
- Taxes: Clients are responsible for applicable taxes
Late Payment Policy
- May result in service suspension
- Interest charges may apply
- Refunds provided only as per SoftPro9's refund policy
8. Intellectual Property Rights
SoftPro9 Ownership
All IP created by SoftPro9 remains our property until full payment:
- Code, designs, and strategies
- Training materials
- Proprietary methodologies
Client Ownership
Clients retain ownership of:
- Their own data
- Trademarks & brand assets
- Pre-existing content
Unauthorized use, copying, or resale of our proprietary assets is strictly prohibited.
9. Confidentiality
Mutual Agreement
Both SoftPro9 and clients agree to maintain confidentiality of business, financial, and technical information.
Protection
Confidential data will not be shared with third parties without prior consent
Duration
Confidentiality obligations survive termination of services
10. Data Protection & Privacy
SoftPro9 complies with GDPR, CCPA, and India's Digital Personal Data Protection Act (DPDPA, 2023).

Clients must ensure compliance when sharing third-party data

11. Service Availability & SLA
We aim to provide uninterrupted service, but:
- Planned maintenance may result in downtime
- We are not responsible for outages beyond our control
- Enterprise-level SLAs may be defined separately in contracts

No Responsibility
We are not responsible for third-party content or policies
Your Risk
Use of third-party tools is at your own risk
13-14. Service-Specific Terms
Recruitment Services (Section 13)
- Candidates must provide accurate resumes and credentials
- Employers agree to use candidate data responsibly
- SoftPro9 does not guarantee employment outcomes
- Background checks may be performed as per law
Digital Marketing (Section 14)
- Marketing outcomes are influenced by many factors; results are not guaranteed
- Clients must provide accurate branding inputs and approvals
- Advertising spend (Google, Meta, LinkedIn, etc.) is billed separately
15. Limitation of Liability
To the maximum extent permitted by law:
- SoftPro9 is not liable for indirect, incidental, or consequential damages
- Our liability shall not exceed the amount paid for services in the last 12 months
- We are not liable for data loss, security breaches, or external disruptions
16. Indemnification
You agree to indemnify SoftPro9, its affiliates, employees, and partners against claims, damages, or losses resulting from:

Unlawful Use
Unauthorized or unlawful use of our Services
IP Infringement
Infringement of intellectual property rights
17. Termination
SoftPro9 may terminate Services immediately if:
Grounds for Termination
- You breach these Terms
- Payments are overdue
- Fraudulent or illegal activity is detected
Post-Termination
Upon termination, your access ends, but financial obligations remain enforceable
18. Dispute Resolution
Step 1: Negotiation
Both parties will first attempt amicable resolution
Step 2: Arbitration
If unresolved, disputes may go to arbitration in Bangalore under the Arbitration and Conciliation Act, 1996
Jurisdiction
Courts in Bangalore, Karnataka, India have exclusive jurisdiction
19. Force Majeure
We are not liable for delays or failures caused by events outside our control, including:

20-21. Governing Law & Updates

These Terms are governed by the laws of India, without regard to conflicts of law principles.
Modifications (Section 20)
SoftPro9 may update these Terms from time to time. Updates will be posted on our website with a revised "Effective Date." Continued use of Services means you accept updated Terms.
